Terms of Use

These Terms of Use (“Terms”) form a binding agreement between you (“you”, “your”, or “Customer”) and Surewyse (“Surewyse”, “we”, “us”, or “our”) governing your access to and use of the websites, dashboards, APIs, and email-verification services made available at https://surewyse.com (collectively, the “Service”).
By creating an account, clicking “Sign up”, redeeming a code, or otherwise accessing the Service, you agree to be bound by these Terms, our Privacy Policy, and our Acceptable Use Policy. If you do not agree, you must not use the Service.
1. Eligibility and accounts
You must be at least 18 years old (or the age of legal majority in your jurisdiction) and capable of forming a binding contract. If you accept these Terms on behalf of an organization, you represent that you have authority to bind that organization, in which case “you” refers to that organization.
You are responsible for keeping your credentials and API keys confidential, for all activity that occurs under your account, and for promptly notifying us at security@surewyse.com of any suspected unauthorized access.
2. The Service
The Service performs deliverability checks on email addresses you submit (“Submitted Data”), including syntax validation, MX lookups, disposable-domain detection, role-account flagging, SMTP probing, and catch-all detection, and returns a verdict and score for each address.
We may add, modify, or remove features at any time. Where a change materially reduces functionality on a paid plan, we will give reasonable advance notice by email or in-product banner.
3. Plans, fees, and billing
Free plans include the monthly verification quota stated on our pricing page. Paid plans (Growth, Scale, and lifetime AppSumo redemptions) are billed in advance for the applicable period in the currency shown at checkout.
- Monthly subscriptions renew automatically on the same day of each month until cancelled. You may cancel from your billing page; cancellation takes effect at the end of the current billing period.
- Overage: if you exceed your plan’s monthly verification quota, additional verifications will be rejected by the API until the next billing cycle or until you upgrade.
- Taxes: fees are exclusive of any value-added tax, sales tax, or withholding tax, which you are responsible for paying where applicable.
- Refunds: except where required by law, fees are non-refundable. AppSumo lifetime deals are subject to AppSumo’s separate refund policy.
- Failed payments: if a payment fails, we may suspend your paid features after notifying you and a reasonable cure period.
4. Acceptable use
You agree not to use the Service to (i) verify lists you do not have a lawful basis to process, (ii) circumvent quotas, sharing or reselling a single account across organizations, (iii) reverse-engineer, scrape, or replicate the Service, (iv) interfere with the Service’s integrity or impose unreasonable load, or (v) violate our Acceptable Use Policy, applicable laws, or third-party rights.
We may suspend or terminate accounts that we reasonably believe are engaged in spam, unsolicited bulk messaging, list trading, harassment, or other prohibited use.
5. Customer Data and ownership
As between you and Surewyse, you own all Submitted Data and the verification results returned for it. You grant us a worldwide, non-exclusive, royalty-free licence to host, process, and display the Submitted Data and results as strictly necessary to provide and improve the Service, support you, secure the platform, and comply with law.
We own all intellectual property in the Service, including software, models, dashboards, documentation, and aggregated, de-identified statistics derived from operating the Service.
6. Verification accuracy & “unknown” verdicts
Email verification is probabilistic. Mail servers may be temporarily unreachable, may grey-list our probes, or may accept all addresses (catch-all). When we cannot reach a definitive answer, we return an unknown result rather than guess. You acknowledge that no email-verification service can guarantee 100% accuracy and that you remain responsible for evaluating verdicts in your downstream workflow.
7. Privacy and GDPR
Our handling of personal data is described in our Privacy Policy and our GDPR statement. Where you submit personal data of EU/UK/EEA data subjects, you act as data controller and we act as data processor, and our Data Processing Addendum applies.
8. Confidentiality
Each party agrees to protect the other’s non-public information disclosed in connection with the Service with the same care it uses for its own confidential information (and not less than reasonable care), and to use it only to perform under these Terms.
9. Suspension
We may suspend your access immediately if (i) your use poses a security or legal risk to us, the Service, or other customers, (ii) you breach these Terms or the Acceptable Use Policy, (iii) we are required to do so by law, or (iv) your account is materially overdue. We will notify you and, where reasonable, give you an opportunity to cure.
10. Termination
You may close your account at any time from your billing page or by emailing legal@surewyse.com. We may terminate these Terms on 30 days’ notice for convenience, or immediately for material breach that you fail to cure within 14 days of written notice. On termination we will, on request, return or delete your Submitted Data within 30 days, except for data we are required by law to retain.
11. Disclaimers
To the maximum extent permitted by law, the Service is provided “as is” and “as available”. We disclaim all warranties not expressly stated in these Terms, including warranties of merchantability, fitness for a particular purpose, non-infringement, and uninterrupted or error-free operation. We do not warrant that any verification verdict is correct or that the Service will improve your sender reputation or deliverability.
12. Limitation of liability
To the maximum extent permitted by law, neither party will be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or any loss of profits, revenue, goodwill, or data, even if advised of the possibility. Each party’s aggregate liability arising out of or related to these Terms will not exceed the amounts paid by you to us for the Service in the 12 months preceding the event giving rise to the claim, or USD 100 if greater. These limits do not apply to either party’s indemnification obligations, breaches of confidentiality, your payment obligations, or liability that cannot be limited by law.
13. Indemnification
You will defend, indemnify, and hold us harmless from any third-party claim arising from (i) your Submitted Data, (ii) your use of the Service in breach of these Terms or applicable law, or (iii) your products or services that incorporate the Service.
14. Changes to these Terms
We may update these Terms from time to time. The “Last updated” date at the top reflects the most recent change. For material changes, we will give at least 30 days’ notice by email or in-product banner. Your continued use of the Service after the effective date constitutes acceptance.
15. Governing law and disputes
These Terms are governed by the laws of the Republic of Zambia, without regard to its conflict-of-laws rules. The courts of Lusaka, Zambia have exclusive jurisdiction over any dispute, except that either party may seek injunctive relief in any court of competent jurisdiction to protect intellectual property or confidential information.
16. Miscellaneous
These Terms (together with the Privacy Policy, Acceptable Use Policy, and any order forms or DPAs we sign with you) constitute the entire agreement between the parties on this subject. If any provision is held unenforceable, the remainder will remain in effect. Failure to enforce any right is not a waiver. You may not assign these Terms without our written consent (except to a successor in a merger, acquisition, or sale of substantially all your assets); we may assign freely.
